Hey all. Good news is that a song of mine is a top-10 finalist in a pretty big internet contest. The company seems fairly reputable, and is pretty well-known. Thing is, I have to sign a release to claim my prize, but am a bit unsure as to some of the language. Any of you help out with interpretations? Thanks! 5. I hereby irrevocably grant to the Sponsor, and those acting with their authority, the unrestricted, absolute, perpetual, worldwide right and license to use my name, address, photograph, likeness, voice, biographical and personal background information, statements, and Contest entry, and, without limitation, any notes, photograph, film, or video or audio tape that may be taken of me or of such materials (the foregoing, collectively, the “Content”), without further compensation, consideration, or notice or permission to me or to any third party, and to reproduce, copy, modify, create derivative works of, display, perform, exhibit, distribute, transmit or broadcast, publicly or otherwise, or otherwise use and permit to be used the Content or any part thereof, whether alone or in combination with other materials (including but not limited to text, data, images, photographs, illustrations, and graphics, video or audio segments of any nature), in any media or embodiment now known or hereafter developed (including but not limited to any format of any computer-‐based, Internet-‐ based, electronic, magnetic, digital, laser or optical-‐based media), in connection with any Partner (or its designee)’s advertising, promotion, publicity, trade, sweepstakes or contest promotions, activities, or materials. There's another one, too. But, I'll post that in a bit. Any issues with this one? Thanks! Here's that second potentially problematic clause: 7. I hereby grant to Sponsor a perpetual, irrevocable, royalty-‐free, sub-‐licensable, fully paid-‐up, worldwide license to my entry in the Contest, together with all intellectual property rights therein, including, without limitation, the license rights to cache, copy, transmit, publicly display, publicly perform and reproduce my Entry on the websites of Sponsor, and in all other media, telecast, broadcast, via mobile devices, as well as through unknown new media hereinafter developed, and to modify and create derivative works from my entry. I hereby waive all claims that any use by Sponsor, derivative or otherwise, of my entry violates any of my rights, including, but not limited to, moral rights, privacy rights, rights to publicity, proprietary or other rights, and/or rights to credit for the material or ideas set forth therein.

Hey Todd, Wondering if you had to sign a similar release when entering the contest? First off; congratulations on the win! It certainly reads like they can do anything they want with your song - including licensing it (unless there are limitation clauses not included in # 5 & 7). If the prize is $50,000, I'd go for it. If it is a year subscription to Billboard magazine, I'd tell them to shove it. Signing the rights of your song over to them could jeopardize any future prospects with this song. Probably best to contact them and find out what it all means. It may be just their standard release agreement to protect them from possible lawsuits. Best, John

Todd, You may have to give up all rights to your song to claim their prize, but at least they're letting you keep your guitar and music gear. But seriously, why would you give away rights to a song for some kind of contest prize?

It's a nonexclusive deal, which makes it more attractive. But seems like they can still do with it what they want under the agreement.
As far as which contest it was... can't say yet, as winner haven't been officially, publicly announced.

I decided not to sign. Woulda been for nothing but an ego boost anyway, as the prize wasn't too great.

Thanks, Dottie. It's this one: "Here" by Hop on Pop Came to my final decision after talking to a lawyer, and then (what really made it was) my wife and kids. Family convinced me that I would be better off just (finally) finding actual representation. ("Todd, your songs are too good to just give away." God, it's nice having a family that actually believes in me.)

Some of that language is designed so the contest can play your song on their website, put it on "this years' winner" CDs, and in general be able to say that "this song" was a big winner in our contest, without having to pay you for it.
That said, the language seems overly broad (does not limit the use of the song to promotional materials for the contest), and consulting a lawyer was a good idea.

If that were all it were limited to, I would sign on, no problem. What got me was that I would basically be signing them co-ownership of the song. But whatever they did with it -- sold it to Lada Ga Ga, placed it in a commercial, etc. -- they could get paid for without having to pay me a thing. Or even get my permission. Just too much.
